TERMINATION OF MEMORANDUM OF UNDERSTANDING (“MOU”) BETWEEN KKB ENGINEERING BERHAD (“KKB”) AND SARAWAK ENTERPRISE CORPORATION BERHAD (“SECB”)

Reference is made to the announcement made on 20 February 2006 in relation to the MOU entered into between KKB with SECB on 20 February 2006 in connection with the proposed acquisition by KKB, of the entire issued and paid-up capital of Sarwaja Timur Sdn Bhd, a wholly-owned subsidiary of the SECB group of companies, and the announcements made on 27 June 2006 on the statuts of the MOU, and 17 August 2006 to extend the negotiation period between the parties for the proposed acquisition.


Further thereto, AmInvestment Bank Berhad (formerly known as AmMerchant Bank Berhad), a member of the AmInvestment Bank Group, on behalf of the Board of Directors of KKB, wishes to announce that the parties have, on 31 January 2007, mutually agreed to terminate the MOU, as a consensus on the terms and conditions of the proposals were not able to be reached during the negotiation period.

This announcement is dated 31 January 2007.
