MEMORANDUM OF UNDERSTANDING ("MOU") BETWEEN KKB AND SARAWAK ENTERPRISE CORPORATION BERHAD ("SECB")

Reference is made to the announcements dated 20 February 2006 and 27 June 2006 in relation to the MOU entered into between KKB with SECB on 20 February 2006 in connection with the proposed acquisition by KKB of the entire issued and paid-up capital of Sarwaja Timur Sdn Bhd from SECB (“Proposed Acquisition”).


The MOU is valid for a period of six (6) months from the date of the MOU or such later date(s) as the parties may agree upon in writing (“Negotiation Period”).

In this respect, AmMerchant Bank Berhad on behalf of the Board of Directors of KKB, is pleased to announce that the Company and SECB had on 11 August 2006 mutually agreed to extend the Negotiation Period for a further period of six (6) months, to now expire on 18 February 2007 to allow the parties to complete the negotiations for the Proposed Acquisition.

This announcement is dated 17 August 2006.
